Special services provided by the firm to advance its work quality

First: Companies:

-     Ascertain that companies meet the requirements stipulated in the Companies Law and its amendments and ensuring proper registration at the Companies Control Department.

-     Study legal potentials for transforming the company into a public or private shareholding  if such transformation is believed to be in the best interest of the company, and recommend and advise as to potentials and required procedures.

-     Study the banking facilities and bank records to insure their conformity with the bank contracts.

-     Study the banking L/Cs opened by the company to the benefit of suppliers, and the L/Cs opened by third parties to the benefit of the company.

-     Follow-up on matters related to the laws and regulations on investment promotion, customs and tax exemptions, and present legal consultations concerning the best methods for benefiting therefrom.

-     Considering the possibility of benefiting from facilities provided to investors in the development zones .

-     Regulate, review, and audit the company and customers’ contracts along with all agreements in both Arabic and English.

Second: Issues related to intellectual and industrial property:

·     Review the license contracts pertaining to the trademarks and names and any other license contracts related to the industrial property.

·     Follow-up all the lawsuits under consideration by the Trademarks Registrar and contests being looked into at the Supreme Court of Justice.

·     Register and follow-up the trademarks registration with the Trademarks Registrar.

·    File lawsuits with the Trademarks Registrar related to opposition and cancelation of trademarks and appeal decisions of Registrar through the Supreme Court of Justice.

·     File illegitimate competition related lawsuits before the competent courts and follow-up on related procedures.

Third: Issues related to workers and social security: 

·     Ensure that all appointment, disciplinary and dismissal procedures are carried out according to the labor law and all relevant laws and legislation.

·     Draft standard employment contracts (if not yet used by the company), and review the existing contracts to ascertain their conformity with the labor law requirements and company needs.

·     Review and update labor bylaws according to Labor Law amendments and regulations issued accordingly.

·     Gain access to company’s records concerning the employees’ subscriptions to the social security and the extent of their conformity with the law.

Fourth: Issues related to both income and sales taxes:

·      Review tax declarations issued by the Company in coordination with the Company’s approved financial auditor.

·      Contact Income and Sales Tax Department and pursue Company-related issues there.

·      File lawsuits contesting decisions issued in relation to income and sales  tax estimation.

Fifth: Laws and Legislations:

-     Drafting legal legislation and draft laws and regulations. Checking with  the Legislation and Opinion Bureau , discussing and defending , draft laws and regulations and discussing the legal drafts before the legal ministerial committee at the Legislation and Opinion Bureau.

-     Conducting comparative legal studies of laws and legislation judging their conformity with the constitutions and international norms.

Sixth: Legal Translation and Interpretation:

-   Translating and notarizing contracts and legal documents

-   Providing interpretation services for legal conferences, workshops and seminars.

-   Interpreting negotiations

-   Interpreting arbitration and trial sessions

Seventh: litigating disputes:

·     Taking proper legal solutions including arbitration, international arbitration, mediation, filing lawsuits, taking legal procedures and/or other precautionary measures.

·     Taking appropriate legal measures to safeguard customers and clients rights as soon as possible via possible methods after studying all means and taking the proper decisions.
